1. Purpose

The parties wish to explore a business relationship and may disclose confidential information.

2. Confidential information

Includes non-public technical, financial, commercial, and operational information disclosed in any form.

3. Obligations

Recipient agrees to:

• Use confidential information only for the stated purpose
• Protect information with reasonable care
• Not disclose to third parties without written consent
• Limit access to personnel with a need to know

4. Exclusions

Information that is public, independently developed, or lawfully received from a third party is excluded.

5. Term

This agreement remains in effect for 2 years from the effective date. Confidentiality obligations survive for 3 years after termination.
